Terms of Service

1. Acceptance of Terms

These Terms form a binding agreement between you and HomeHudl ("HomeHudl," "we," "us," or "our"). By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.

3. Accounts

To access certain features, you may need to create an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at support@homehudl.com if you suspect unauthorized access.

4. The Services

HomeHudl uses public real estate transaction data and the information you share through our AI chat to match you with real estate agents. Our Services may include:

• Instant analysis of over 50 data points per agent.
• Commission transparency tools.
• An all-in-one dashboard for documents, scheduling, and communications with real estate professionals.

HomeHudl is a technology platform. We are not a real estate broker, agent, lender, attorney, or financial advisor, and we do not provide real estate, legal, or financial advice.

5. Beta Services

The Services are currently in beta. Features may change, be added, or be removed. The Services may contain bugs or errors and may not perform as expected. We welcome your feedback so we can improve the experience. Beta features are provided "as is," without warranties of any kind.

6. Agents & Third Parties

HomeHudl introduces you to independent real estate agents and may surface third-party services. Any agreement you enter into with an agent or third party is solely between you and that party. HomeHudl is not responsible for the conduct, performance, advice, or services of any agent or third party. We do not guarantee a particular outcome from any introduction.

7. User Content

You retain ownership of the content you submit to the Services ("User Content"). By submitting User Content, you grant HomeHudl a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display User Content as needed to operate, improve, and provide the Services.

You represent that you have all necessary rights to your User Content and that it does not violate any law or third-party rights.

8. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Reverse engineer, decompile, or attempt to extract source code from the Services.
• Scrape, copy, or republish data, agent profiles, or other content without our written permission.
• Interfere with the security or integrity of the Services or any related systems.
• Submit false, misleading, or impersonating information.
• Use the Services to transmit viruses, malware, or other harmful code.
• Use automated means to access the Services without our prior written consent.

9. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by HomeHudl or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. All rights not expressly granted are reserved.

10. Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

HomeHudl does not warrant that the Services will be uninterrupted, error-free, or secure, or that any agent introduction will result in a successful transaction. Any reliance on agent rankings, data points, or commission information is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, HomeHudl and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services.

Our total aggregate liability for any claim arising out of or related to these Terms or the Services will not exceed one hundred U.S. dollars ($100) or the amount you paid HomeHudl in the twelve months preceding the claim, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless HomeHudl and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, your violation of these Terms, or your violation of any third-party right.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution.

14. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

You and HomeHudl agree that any claim must be brought in your individual capacity and not as part of a class or representative action. You and HomeHudl waive any right to a jury trial to the fullest extent permitted by law.

15. General

Changes to Terms. We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms and updating the "Last Updated" date above. Continued use of the Services after the changes take effect constitutes acceptance.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and HomeHudl regarding the Services.

Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
